Terms governing access to QuantJourney websites, software, data-access tools, research materials and related Services.
1. Agreement and scope
These Terms of Use (“Terms”) govern your access to websites, product materials and Services operated by Quant Journey under the QuantJourney brand (“QuantJourney,” “we,” “us,” or “our”) that link to these Terms.
By accessing or using a covered Service, you agree to these Terms. If you act for an organisation, you represent that you are authorised to act for it. If you do not agree, do not use the relevant Service.
An order form, statement of work, data-processing agreement, software licence or other individually agreed document may add to or replace parts of these Terms. That document controls for the subject and commercial relationship it expressly covers.
2. Services covered
“Services” includes, where the relevant surface links to these Terms:
- quantjourney.cloud, QuantJourney subdomains, public product pages, documentation, research material and contact forms;
- OneBook, Backtester and API interfaces, hosted environments, APIs, SDKs and permissioned MCP access;
- product reviews, implementation, workflow engineering, support and related professional interactions; and
- other QuantJourney applications, resources and services that expressly refer to these Terms.
3. Professional use, accounts and credentials
Services intended for institutional use may require an authorised account or written commercial agreement. You must provide accurate information, keep credentials and API keys confidential, apply reasonable security controls and promptly notify us of suspected compromise.
You are responsible for activity performed through your credentials and for ensuring that your users, systems and agents are authorised. Documented automation is permitted only within applicable authentication, permission, quota, rate-limit and data-licence rules.
4. Customer Data and your responsibilities
You retain your rights in holdings, transactions, research, theses, models, policies, prompts, files, reports and other material you create, submit or connect (“Customer Data”). You grant QuantJourney the limited right to host, process, transmit and reproduce Customer Data as needed to provide, secure, implement and support the Service and as otherwise authorised in your agreement.
You must have the rights and permissions required to provide Customer Data and integration access. You remain responsible for its accuracy, provenance, temporal correctness, licences and lawful use, and for reviewing outputs used in investment, risk, compliance or operating processes.
5. Connected systems and third-party data
QuantJourney products may connect to brokers, custodians, administrators, PMS, OMS, research tools, models, market-data vendors and other systems selected or approved by you. Those systems remain governed by their own licences, terms, availability and data contracts.
Coverage, timestamps, corrections, revisions, corporate-action treatment and point-in-time characteristics vary by source. You are responsible for determining whether a source is suitable and legally available for your use.
6. Acceptable use
You may not use the Services to:
- violate law, regulation, sanctions, third-party rights or a data-provider licence;
- gain unauthorised access, bypass permissions, probe another tenant, introduce malicious code or disrupt a Service;
- share credentials publicly or use credentials issued to another person or organisation;
- misrepresent identity, entitlement, portfolio state, research results, data provenance or QuantJourney affiliation;
- reverse engineer a hosted or non-public component except where applicable law expressly permits it; or
- provide regulated financial services unless you hold the required authorisations and the applicable agreement permits that use.
7. Intellectual property and open source
QuantJourney owns or licenses its hosted interfaces, non-public software, website content, documentation, product designs and marks, excluding Customer Data and third-party materials. No ownership right is transferred except for the limited use rights expressly granted by these Terms or a written agreement.
Code, examples or other material released under an open-source licence are governed by that licence. A public repository does not grant rights to hosted services, private source code, data, trademarks or materials not included in the licensed repository.
If you voluntarily provide feedback, you allow us to use it without restriction or payment, provided we do not disclose your confidential information or identify you without permission.
8. Commercial terms
Fees, taxes, books, users, integrations, workflows, implementation scope, engineering allocation, support, renewal, cancellation and payment terms are stated in the applicable order form, statement of work or agreement. Third-party data licences, cloud infrastructure and non-standard vendor charges are scoped separately unless the applicable document states otherwise.
9. Financial-services status and no advice
QuantJourney provides software, data-access infrastructure, portfolio analytics, workflow controls and research tooling. It is not an investment adviser, broker-dealer, bank, commodity trading adviser, commodity pool operator, fund administrator, custodian, execution venue or fiduciary. It does not execute trades, hold client assets or act as counterparty.
The Services and public materials do not provide investment, legal, tax, accounting, compliance, portfolio-management or execution advice and do not recommend or solicit any security, strategy, transaction or investment product.
10. Models, outputs and investment responsibility
Data, backtests, risk measures, scenarios, optimisations, policy results, proposed orders, attribution, reports, agent proposals and other outputs depend on selected data, configurations, assumptions, models and versions. They may contain errors, omissions, delays, bias, stale information or incomplete assumptions.
You are responsible for independent validation, model governance, data licences, suitability, policy configuration, approvals and every investment, operational or trading action. Past performance, simulated performance and historical relationships do not guarantee future results.
11. Availability, changes and suspension
Public websites and Services are provided on an “as available” basis. We may maintain, change, limit or discontinue pages, features, integrations or sources. A paid-service agreement may provide additional commitments.
We may restrict or terminate access for non-payment, security risk, abuse, legal requirements or material breach. You remain responsible for exports, backups and continuity controls required by your process, subject to the applicable agreement.
12. Warranties and limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES, PUBLIC CONTENT AND DATA ARE PROVIDED “AS IS” AND “AS AVAILABLE.” QUANTJOURNEY DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
TO THE FULLEST EXTENT PERMITTED BY LAW, QUANTJOURNEY AND ITS PERSONNEL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL LOSS, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, TRADING LOSSES OR BUSINESS INTERRUPTION. UNLESS A SIGNED AGREEMENT STATES OTHERWISE, AGGREGATE LIABILITY ARISING FROM A PAID SERVICE WILL NOT EXCEED THE AMOUNT PAID FOR THAT SERVICE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These exclusions do not apply to liability that applicable law does not allow to be excluded or limited.
13. Privacy and confidentiality
Personal data is handled as described in the Privacy Policy and any applicable data-processing agreement. Confidential information shared during a product review, implementation or paid Service is governed by the applicable non-disclosure or commercial agreement.
14. Third-party links and services
Links and integrations are provided for convenience or functionality. Third parties operate under their own terms and privacy notices. Unless expressly stated, a link, mention or integration does not imply endorsement, certification or partnership, and QuantJourney is not responsible for third-party content or availability.
15. Changes, contact and governing documents
We may update these Terms to reflect product, legal or operational changes. The revised version will show a new effective date. Continued use after that date constitutes acceptance where permitted by law.
